Kansas Businesses and Service of Process in a New York MCA Case

A Kansas business served in a New York merchant cash advance case has often been served at the address in the agreement rather than where it now operates. Whether that was valid service is a real question, and assuming it answers itself is how defendants end up with judgments.

The papers went to the address on the agreement

Businesses move. They give up a unit, consolidate two locations, switch to working from a yard or a home office, or close a branch and keep the company. What rarely moves is the address typed into a merchant cash advance agreement three years ago, and that is where a process server is usually sent.

So a common first fact in a Kansas defendant's case is that the summons was delivered somewhere the business is not, to somebody who does not work there, and reached the owner late or second-hand or not at all.

What the rules actually require

For a limited liability company, CPLR § 311-a sets out personal service. A copy is delivered to:

  • any member of the company in New York, where management is vested in its members;
  • any manager in New York, where management is vested in one or more managers;
  • any other agent authorised by appointment to receive process; or
  • any other person designated by the company to receive process.

Read that list against what actually happened. A person at a former address, a neighbouring business, a family member, a former bookkeeper, or an employee with no authority to accept process may satisfy none of it.

What bad service does, and what it does not do

Here is the part that costs people the most money, so it is worth being blunt about.

Defective service is potentially a strong objection. It is not self-executing. A case does not evaporate because the papers were delivered badly, and a court does not notice on its own. The objection is something a defendant raises, in the manner and at the time the rules require.

The failure pattern is predictable: a business concludes it was never properly served, decides the case is therefore nothing to do with it, and does nothing. Meanwhile the plaintiff proves service by affidavit, the defendant does not appear, and a judgment is entered. The service problem still exists — but it now has to be used to attack a judgment rather than to resist a claim, which is slower, costlier and less certain.

The document that decides the argument

CPLR § 320 gives a defendant twenty days after service of the summons to appear, with longer periods in defined circumstances including particular methods of service — which means the method is already part of the calculation before anyone argues about validity.

Both questions are answered from the same place: the affidavit of service filed in the court. It states who was served, where, when, how, and in what claimed capacity. Everything a defendant wants to say about service is said against that document, so obtaining it is the first substantive step, ahead of forming a view.

If a judgment is already there

CPLR Rule 5015 permits the court which rendered a judgment to relieve a party from it on specified grounds, on motion, with the ground determining the applicable time limit. Service is among the matters that come up on such applications.

What is available in a given case depends on the record and on how the judgment came about, which is why the honest version of this section is short: the route exists, it is a motion with grounds, and it is built from the court file.

What to do first, from Kansas

  1. Write down every address the company has used, with the dates, and which one is on the agreement.
  2. Ask who in the business has authority to accept legal papers — and whether any public filing names someone who has since left.
  3. Get the affidavit of service. Before deciding anything about validity.
  4. Appear within the deadline anyway. Raising the objection properly is what preserves it; silence is what loses it.

How an MCA lawsuit is defended covers the case once an appearance is in, and a restrained account covers what enforcement looks like if a judgment was entered first.

How it works

How your case moves

This is the shape of a defended merchant cash advance lawsuit. A judgment already entered, or an account already frozen, runs on its own track alongside it.

FAQ

Questions people ask at this stage

Who is allowed to accept service for my company?

For a limited liability company New York is specific: a member where management is vested in members, a manager where it is vested in managers, another agent authorised by appointment to receive process, or another person the company designated to receive process.

A receptionist, a former employee, a tenant at an old unit or a relative at a home address may be none of those. Who was handed what, and in what capacity, is recorded in the affidavit of service.

The papers went to an address we left. Is the case void?

Not automatically, and that assumption is dangerous. Defective service is a ground to be raised in the proper way at the proper time. A defendant who stays silent on the theory that nothing is validly before the court can find a judgment entered regardless.

How do I find out what the server says happened?

From the affidavit of service in the court file. It names who was served, where, when, by what method and in what capacity, and it is the document any objection is tested against. Getting it is an early step rather than a late one.

What if a judgment has already been entered?

New York allows a court to relieve a party from a judgment on specified grounds, and the available ground and time limit depend on the facts. Service problems are among the matters raised on such an application, with the court file as the evidence.
