New York MCA Defense Lawyer

MCA Settlement & Debt Relief Attorney in New York

A merchant cash advance settlement is an agreement that resolves the funder's claim on terms other than the ones it is demanding. It is negotiated against what the agreement says and what the payment history shows, and in New York an out-of-court settlement binds the parties only when it is in a signed writing.

What is actually being negotiated

A merchant cash advance settlement resolves the funder's claim on terms other than the ones it is demanding. The demand is the funder's own figure, calculated under its own reading of the agreement, and it frequently includes default fees and charges that are open to challenge.

That is where a settlement conversation comes from. Understanding what is wrong with a claim is what makes it something other than a repayment plan written by the other side.

Leverage comes from the agreement, not from the ask

The questions that shape a negotiation are the same ones that shape a defense: what the agreement says about reconciliation, whether the remittance was ever adjusted to actual receipts, what the payment history shows against what is pleaded, and what the personal guaranty actually reaches.

None of that is a prediction. Which points matter depends entirely on the documents in front of you and on how the parties behaved under them — see MCA lawsuit defense for how those arguments are raised inside a case.

Where the matter stands changes the conversation

Before suit, the funder is weighing what litigation costs it. Once it has sued, the case has its own deadlines running alongside any discussion. Once a judgment exists — whether by default or through a confession of judgment — it holds enforcement routes it did not have before, including restraining a bank account, and any agreement has to deal with the judgment rather than only with the balance.

Getting it in writing, and getting it complete

CPLR 2104 is the rule that makes a settlement binding: an agreement between parties is not binding unless it is in a writing subscribed by the party or the attorney, made between counsel in open court, or reduced to the form of an order and entered.

A figure alone does not finish the matter. What the payment is meant to end has to be recorded — the claim, the guaranty, and the filings the funder made along the way. A UCC filing in particular survives payment until a termination statement is filed; UCC § 9-513 sets out when one is owed, and a lien left on the record is the part businesses tend to discover later.

What nobody can promise

No figure, no percentage and no timeline appears on this page, because none can honestly be given in advance. What a funder accepts depends on its position, on the strength of the defenses, and on where the matter stands when the conversation happens.

What arrived?

Three different problems, three different clocks. Start by working out which one you are holding.

  1. 01A clock is running

    A summons and complaint

A lawsuit has been filed against the business, and usually against whoever signed the personal guaranty.

You have a limited period to respond. How long depends on how you were served and which court the case is in, so the papers themselves are the only reliable answer.

    Do this first

Write down the date you were handed them, then find the court and index number on the first page.

  2. 02Already standing

    A judgment already entered

A judgment exists in a case you never appeared in — usually a default, or a confession of judgment signed when the advance was taken.

A different problem with a different remedy. A judgment is challenged in its own proceeding rather than defended as a lawsuit, and it keeps its force while that happens.

    Do this first

Get the county and index number, then pull the filed papers and read them against your payment history.

  3. 03Same day

    A bank account frozen

Your bank is holding funds against a judgment, usually under a restraining notice served by the creditor's attorney.

The freeze and the judgment behind it are handled on separate tracks, and payroll and rent do not pause for either. This is the one to move on today.

    Do this first

Ask the bank for the judgment creditor's name, the county and the index number, in writing. Do not move money between accounts.

How it works

How your case moves

This is the shape of a defended merchant cash advance lawsuit. A judgment already entered, or an account already frozen, runs on its own track alongside it.

FAQ

Questions people ask at this stage

Is settlement an alternative to defending the case?

Usually they are a sequence rather than a choice. What is wrong with a claim is what gives a settlement conversation any shape; without it, the discussion is a repayment plan on the funder's terms. Which route fits depends on the agreement and on what has already happened under it.

Can a merchant cash advance be settled after a judgment?

It is a different negotiation, not an impossible one. Once a judgment exists the funder holds enforcement routes it did not have before, and any agreement has to address the judgment itself rather than only the balance. What is available depends on how the judgment came about.

A judgment that is itself open to challenge changes the conversation, which is why the route the judgment took is worth establishing before terms are discussed.

What does a written MCA settlement have to record?

More than a number. In New York, CPLR 2104 makes an agreement between parties binding only where it is in a writing subscribed by the party or the attorney, made in open court, or reduced to an order and entered. What the payment ends — the lawsuit, the guaranty, the UCC filing — belongs in that writing.

Can anyone promise what a funder will accept?

No, and a promise is a warning sign rather than a selling point. What a particular funder does turns on its own position, the strength of the defenses and where the matter stands. Nothing on this site predicts a figure, and no lawyer can properly guarantee one in advance.
