Can a Montana Business Move a New York MCA Case Closer to Home

It is the first question a Montana defendant asks, and New York has a rule directly on it. The rule is a discretion rather than a right, it is switched off for a defined class of cases, and knowing which side of that line an advance falls on is where the answer begins.

The obvious question, and the rule that answers it

A business in Billings or Missoula, served with a complaint from a New York county, asks the sensible thing first: can this be moved?

Unlike most questions in this area, there is a rule aimed directly at it. It is worth reading, because what it says is narrower and more interesting than either the hopeful or the despairing version of the answer.

What CPLR 327 says

CPLR Rule 327 is headed inconvenient forum. Subdivision (a) provides that when the court finds that in the interest of substantial justice the action should be heard in another forum, the court may stay or dismiss the action in whole or in part on any conditions that may be just.

Three words in that sentence do the work.

"May." This is a discretion. Nothing is triggered automatically by the defendant being far away, and no mileage figure converts into an entitlement.

"Finds." There is something to establish. The court reaches a conclusion on material put in front of it, which means an application, supported by facts.

"Substantial justice." The standard is not the defendant's convenience in isolation. It is a broader assessment, and a court weighing it will look at more than where the defendant lives.

And subdivision (b), which closes the door on some cases entirely

The second half matters at least as much. Subdivision (b) provides that the inconvenient-forum provision does not apply to an action to which GOL § 5-1402 applies.

That section permits an action against a non-resident where the parties chose New York law, the transaction covers at least $1,000,000, and the agreement contains a submission to the jurisdiction of New York courts.

So for a transaction inside that definition, the argument is not weak — it is unavailable. The court has no discretion to decline on these grounds.

Which makes the first step arithmetic

Find the purchased amount and the purchase price. If the transaction is at or above a million dollars and the other two conditions are met, the inconvenient-forum route is closed and effort belongs elsewhere: on the claim, the accounting, and the guaranty.

If it is below — which covers a great many advances — the court keeps its discretion. The route is open. That is not the same as the route being likely, and this page is not going to suggest otherwise. An open discretion is an opportunity to make an application, and applications are won on their circumstances.

What this page cannot tell you

It cannot tell you what a New York court weighs when it exercises that discretion, because the case law on it was not read for this draft and a list invented for the purpose would be worse than an honest gap.

What it can tell you is that the question is real, that it has a rule behind it rather than being wishful thinking, and that the threshold arithmetic is something you can establish today from a document you already have.

The part that is not optional

CPLR § 320 requires a defendant to appear within twenty days of service of the summons — by answer, by notice of appearance, or by a motion that extends the time to answer — with longer periods in defined circumstances including particular methods of service.

An application under Rule 327 is something a defendant does inside the case. A defendant who stays out of the case waiting to see whether it can be moved has given up the position from which the question could have been asked.

What to do first, from Montana

  1. Find the transaction figures. They decide whether subdivision (b) applies at all.
  2. Check for an express submission to New York jurisdiction, separately from the governing-law sentence.
  3. Appear inside the window. Then raise the forum question properly.
  4. Have a plan for the case staying put. Most do, and the defense has to work either way.

How an MCA lawsuit is defended covers that defense. If enforcement has already started, a restrained account and a confession of judgment cover the two routes.

How it works

How your case moves

This is the shape of a defended merchant cash advance lawsuit. A judgment already entered, or an account already frozen, runs on its own track alongside it.

FAQ

Questions people ask at this stage

Is there a rule about suing someone far away?

There is. New York provides that a court may stay or dismiss an action, in whole or in part, where it finds that in the interest of substantial justice the action should be heard in another forum. It is phrased as something the court may do.

That wording matters. It is a discretion exercised on the circumstances rather than an entitlement triggered by distance, so the argument has to be built rather than asserted.

When is that rule unavailable?

Where New York choice-of-forum statute applies, the rule expressly does not permit dismissal on inconvenient-forum grounds. That statute needs a choice of New York law, a transaction covering at least one million dollars, and a submission to New York jurisdiction.

So does the size of my advance decide it?

It decides whether the door is open, not whether you walk through it. Below the statutory threshold the court retains its discretion, which makes the application possible. Whether it succeeds depends on the circumstances of the case rather than on the figure.

Should I wait for a ruling before responding?

No. Any application of this kind is made by a defendant who has come into the case properly. New York requires an appearance within twenty days of service of the summons, with longer periods in defined circumstances, and waiting invites a default instead of a ruling.
