Why a Vermont Attorney May Not Be Able to Take Your MCA Case

A Vermont business served on a merchant cash advance often hears first from its own lawyer that they cannot take it. That is almost always about where the case is rather than what it is worth, and knowing the difference saves a week of the response period.

The first thing that happens is usually a no

A Vermont business gets served in a merchant cash advance case and does the sensible thing: calls the lawyer it has used for a decade. The one who did the lease, the partnership agreement, the employee problem two years ago.

And the answer is that they cannot take it.

That conversation is demoralising at exactly the wrong moment, and it is almost always misread. So it is worth being clear about what it means.

It is about geography, not merit

The complaint names a court, and that court is in New York. Appearing in it requires a lawyer admitted in New York — either admitted generally, or admitted for that one case.

A Vermont attorney who is not admitted there cannot file an appearance, cannot serve an answer, and cannot make a motion. That is a licensing boundary. It says nothing whatsoever about whether the claim is defensible, whether the funder's figure is right, or whether the guaranty covers what the complaint says it covers.

A lawyer who tells you this plainly is doing you a service. The unhelpful version is the one who takes it and works out the problem in week three.

Why the case is there in the first place

Because the agreement said so. These contracts choose New York law and a New York forum as a matter of routine, whatever state the merchant trades in.

GOL § 5-1402 is the statute that makes such a clause reliable, and it is demanding: a choice of New York law, a transaction covering at least $1,000,000, and an express submission to New York jurisdiction. Most advances are well below that figure, in which case the clause is argued on ordinary grounds rather than underwritten by the statute.

Which is itself a reason to have someone admitted in that court look at it — it is one of the better questions available early, and it can only be raised there.

Two routes, both legitimate

Instruct counsel admitted in the forum directly. Most straightforward, and usually fastest.

Ask your own lawyer about associating with counsel admitted there. Some will be willing to stay involved alongside someone who can appear. If you value the relationship and they know your business, that is a reasonable thing to ask about rather than something to feel awkward over.

Either way the question to resolve on day one is the same: who is going to file something in that court, and by when.

What to ask, in order

  1. "Are you admitted in the court named on these papers?" First, and before describing the case. It is a yes or no.
  2. "Do you handle merchant cash advance matters?" A commercial litigator admitted in New York is not automatically familiar with this product, its drafting conventions, or the arithmetic that matters in it.
  3. "What do you need from me this week?" A useful answer names documents.
  4. "What is my deadline, and what will be filed by it?" The only question with a date attached.

Why the week matters so much

CPLR § 320 allows twenty days after service of the summons to appear, by answer, by notice of appearance, or by a motion extending the time to answer, with longer periods in defined circumstances including particular methods of service.

A week spent finding out that the first lawyer cannot act is a third of that. And where the period runs out, CPLR § 3215 allows the plaintiff to seek a default judgment, with the clerk able to enter one for a sum certain on the requisite proof within a year of the default.

The admission question is free to ask and expensive to discover late. Ask it first.

What to do first, from Vermont

  1. Ask about admission before anything else, of everyone.
  2. Note the service date and manner while you are doing it.
  3. Scan the agreement and the summons so whoever takes it can start immediately.
  4. Do not take a no personally, or as a verdict. It is a licence, not an opinion.

How it works

How your case moves

This is the shape of a defended merchant cash advance lawsuit. A judgment already entered, or an account already frozen, runs on its own track alongside it.

FAQ

Questions people ask at this stage

Why did my attorney turn it down?

Most likely because the case is in a New York court and they are not admitted there. That is a licensing boundary rather than an assessment of the claim, and a lawyer who declines on that basis is being straightforward rather than unhelpful.

Some will offer to associate with counsel admitted in the forum instead. That is a legitimate route and worth asking about, particularly if you have a long relationship with them.

Does it mean my case is weak?

No, and the inference is worth resisting. Admission says nothing about merit. A business can have a strong position on the agreement, the arithmetic and the guaranty and still need someone else to put it in front of the court hearing it.

What should I ask the next lawyer?

Whether they are admitted in the court on the papers, whether they handle merchant cash advance matters specifically, and what they need from you in the next few days. The first question is a yes or no and it should come first.

How much time does this cost me?

More than people expect. New York allows twenty days after service of the summons to appear, with longer periods in defined circumstances, so a week spent discovering an admission problem is a substantial share of the whole window rather than a minor administrative delay.

Did your lawyer say they cannot take it?

That is usually about admission, not about the merits. Bring the agreement and the papers and we will tell you where the case actually is.
