Service on a Wyoming LLC in a New York MCA Case

Wyoming companies are often formed through a registered agent and managed from another state, so when a merchant cash advance summons arrives the question of who was lawfully handed it is a real one. New York answers it specifically for limited liability companies.

Formed in one state, run from another, sued in a third

A Wyoming LLC is frequently a company with no particular physical connection to Wyoming. It was organised there, it has a commercial registered agent there, and the business itself is run from somewhere else entirely.

That arrangement is ordinary and lawful. It also makes one question in a merchant cash advance lawsuit considerably more interesting than it would be for a company trading where it was formed: who, exactly, was handed the papers, and were they someone the law allows to receive them?

What New York requires

CPLR § 311-a governs personal service on a domestic or foreign limited liability company. Service is made by delivering a copy personally to:

  1. any member of the company in New York, if management is vested in its members;
  2. any manager of the company in New York, if management is vested in one or more managers;
  3. any other agent authorised by appointment to receive process; or
  4. any other person designated by the company to receive process.

Four routes, each with its own requirement. The relevant question in any given case is which of them the plaintiff says it used, and whether the facts support it.

The registered agent question

A commercial registered agent is the obvious candidate, and the answer is not automatic either way.

Limb three covers an agent authorised by appointment to receive process. So the question is about the appointment: what the agent was appointed to do, under what instrument, and what the record shows. That is a factual question rather than one answered by the agent's job title or by the fact that an annual fee is paid.

It is worth establishing precisely, because for many Wyoming entities the registered agent is the only candidate on the list.

The two New York limbs

Notice that limbs one and two both locate the person in New York. A member in New York. A manager in New York.

For a Wyoming company managed from Texas or Oregon or anywhere else, there may be nobody who satisfies either. What follows from that is a question this page does not answer: only subdivision (a) was read for this draft, and New York has other provisions dealing with service that were not. So the honest position is that this is a question to put to counsel with the affidavit of service in hand, and that it is a better question than most.

The affidavit of service is the document

Everything above is tested against one filing: the affidavit of service in the court file. It records who was served, where, when, by what method, and in what claimed capacity.

Your own recollection of what arrived in the post is not the input. The affidavit is, and obtaining it is the first substantive step rather than a later refinement.

And the warning that matters more than any of it

Defective service is an objection. It is not a condition that makes a case disappear.

CPLR § 320 requires an appearance within twenty days after service of the summons — answer, notice of appearance, or a motion extending the time to answer — with longer periods in defined circumstances including particular methods of service. An objection to service is raised by a defendant participating in the manner the rules allow.

A company that concludes it was never properly served and therefore does nothing will frequently find that the plaintiff proved service by affidavit, no appearance was filed, and a judgment exists. The service point still exists — but it now has to be deployed under CPLR Rule 5015, on a motion to be relieved from a judgment, which is slower and less certain than the objection would have been.

What to do first, from Wyoming

  1. Establish how the company is managed — by members or by managers — and who holds each role.
  2. Find the registered agent appointment and read what it covers.
  3. Get the affidavit of service before forming any view.
  4. Appear inside the deadline regardless. The objection survives; the window does not.

How it works

How your case moves

This is the shape of a defended merchant cash advance lawsuit. A judgment already entered, or an account already frozen, runs on its own track alongside it.

FAQ

Questions people ask at this stage

Who can New York service be made on for an LLC?

The statute names four: a member of the company in New York where management is vested in members, a manager there where it is vested in managers, any other agent authorised by appointment to receive process, and any other person the company designated to receive process.

Read that list against what the affidavit of service says happened. The question is not whether somebody received the papers but whether the person who did fell within it.

Does my registered agent count?

It depends on what the agent was appointed to do and what the record shows. An agent authorised by appointment to receive process is within the statutory list, so the question is a factual one about the appointment rather than about the title used.

Nobody connected to the company is in New York. Then what?

That is worth examining rather than assuming either way. The statutory language locates members and managers in New York, so where a company has none there, how service was effected is a question to put to counsel with the affidavit in hand.

Can I ignore it if service looks defective?

No, and this is the expensive mistake. Defective service is an objection to be raised properly, not a condition that cancels a case. A defendant who stays silent on that theory can find a judgment entered and the objection much harder to use.
